Welcome to ProcureGlobal. These Terms of Service ("Terms") govern your use of the ProcureGlobal website (the "Site") and the procurement, negotiation, and logistics services provided by ProcureGlobal ("we," "us," or "our").
By accessing our Site or submitting a Request for Quote (RFQ), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services or access the Site.
1. Description of Services
ProcureGlobal acts as a strategic procurement agency. We assist corporate entities in sourcing, negotiating, and acquiring IT hardware, office equipment, data center infrastructure, and industrial goods directly from manufacturers globally. Our services include:
- Facilitating Requests for Quotes (RFQs) to tier-1 manufacturers.
- Negotiating volume discounts and institutional pricing on your behalf.
- Coordinating logistics, customs brokerage, and supply chain delivery.
- Providing supply chain market insights and consulting.
2. User Obligations & Corporate Authority
Our services are strictly business-to-business (B2B). By submitting an RFQ or engaging our services, you represent and warrant that:
- You are at least 18 years of age.
- You have the legal authority to bind the corporate entity or organization you represent to these Terms and any subsequent purchase agreements.
- All information provided during the RFQ process (including company details, technical specifications, and delivery locations) is accurate and complete.
3. RFQs, Pricing, and Purchase Agreements
Non-Binding Quotes: Submitting an RFQ through our Site does not constitute a binding purchase agreement. Any estimates, pricing indications, or lead times provided by ProcureGlobal prior to a formal contract are subject to manufacturer availability, market fluctuations, and final negotiation.
Formal Agreements: A binding commitment is only established once a formal Purchase Order (PO) or Procurement Contract is signed by your authorized representative and accepted by the manufacturer or ProcureGlobal (depending on the structured agent/reseller agreement for that specific transaction).
4. International Trade and Compliance
Users of our services must comply with all applicable domestic and international laws, including export control laws and economic sanctions. ProcureGlobal reserves the right to refuse service, cancel RFQs, or terminate agreements if we believe a transaction violates international trade compliance laws (including, but not limited to, regulations enforced by the US Department of Commerce or equivalent international bodies).
5. Intellectual Property
The Site and its original content, features, design, and functionality are owned by ProcureGlobal and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, or create derivative works from our Site content without explicit written permission.
6. Limitation of Liability
To the maximum extent permitted by law, ProcureGlobal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Site.
- Any delays, production shortages, or fulfillment failures on the part of the third-party manufacturers.
- Any customs delays, shipping disruptions, or force majeure events affecting the global supply chain.
Our role is strictly as a procurement facilitator and negotiator unless explicitly contracted as the direct seller of record.
7. Indemnification
You agree to defend, indemnify, and hold harmless ProcureGlobal and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.
8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms.
9. Governing Law
These Terms shall be governed and construed in accordance with international commercial law and the local jurisdiction of ProcureGlobal's corporate headquarters, without regard to its conflict of law provisions.
